Terms of Service

These Terms of Service govern your use of the Archon website and your engagement with Archon's services. By accessing our website or hiring Archon to build automation systems for your business, you agree to these terms in full.

1. Services

Archon provides custom AI automation services including workflow automation, AI assistant development, custom agent development, and reporting systems. The specific scope, deliverables, timeline, and price of each project are agreed upon in writing before work begins.

All projects begin with a discovery and scoping phase. No development work begins until a scope document has been reviewed and approved by the client.

2. Engagement and Payment

All projects require a 50% deposit before work begins. The remaining balance is due upon project completion and delivery. For retainer engagements, payment is due at the start of each monthly billing period.

Invoices not paid within 14 days of the due date may result in work being paused until payment is received. Archon reserves the right to charge a late payment fee of 2% per month on overdue balances.

3. Scope and Changes

The agreed scope document defines exactly what will be built. Any additions or changes requested after the scope is approved are considered out of scope and will be quoted separately.

Archon will notify you in writing if a change request affects the timeline or budget before proceeding. No out-of-scope work will begin without written client approval.

4. Client Responsibilities

To deliver your project on time, we require your cooperation throughout the process. Specifically, you agree to:

  • Provide timely access to the tools, accounts, and data required for the project

  • Respond to questions and review requests within 3 business days

  • Designate a single point of contact on your team for project communication

  • Notify Archon promptly of any changes to your systems or requirements

Delays caused by late responses or missing access are not the responsibility of Archon and may affect the agreed delivery timeline.

5. Intellectual Property

Upon receipt of full payment, Archon transfers ownership of all custom-built systems, code, and documentation to the client. You own everything we build for you.

Archon retains the right to use general methodologies, frameworks, and non-client-specific knowledge gained during the project. We will never share or publish your proprietary business logic, data, or configurations.

6. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement. Archon will not disclose your workflows, data, or system configurations to any third party without your explicit written consent. We are happy to sign a mutual NDA upon request before any work begins.

7. Post-Launch Support

All projects include a 30-day post-launch support window during which Archon will fix any bugs or issues arising directly from the delivered system at no additional cost. This support window does not cover new feature requests, changes to third-party platforms, or issues caused by client-made modifications.

Ongoing support beyond the 30-day window is available under a monthly retainer agreement.

8. Limitation of Liability

Archon's liability in connection with any project is limited to the total fees paid by the client for that project. We are not liable for indirect, consequential, or incidental damages including lost revenue, lost data, or business interruption arising from the use or inability to use the systems we build.

Archon is not responsible for outages, changes, or failures of third-party platforms (such as HubSpot, Slack, or Zapier) that affect the operation of your automation systems.

9. Termination

Either party may terminate a project engagement with 7 days written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. The 50% deposit is non-refundable once scoping and development work has commenced.

10. Governing Law

These terms are governed by applicable law in the jurisdiction where Archon is registered. Any disputes arising from these terms or from a project engagement will first be subject to good-faith negotiation between the parties before any formal proceedings are initiated.

11. Changes to These Terms

Archon may update these Terms of Service at any time. Updated terms apply to new engagements entered into after the update date. Existing project agreements are governed by the terms in effect at the time of signing.
